Scope 11 Inc.® (herein referred to as "Scope 11", "Company", "We", "Us" or "Our") is a video production company that provides services to clients for the purpose of creating music videos, corporate videos, and photoshoots. These Terms of Service (TOS) describe the terms and conditions that govern your use of the Scope 11 website (www.scope11.ca), and the services offered by Scope 11. By accessing and using the Scope 11 website, you agree to be bound by these TOS. If you do not agree to these TOS, please do not use the Scope 11 website or its services.

Definitions:

For the purpose of these TOS, the following terms shall have the meanings set forth below:

"Agreement" refers to these TOS, together with any other policies, agreements, and/or guidelines referred to in these TOS.

"Content" refers to any and all text, images, videos, audio, and other forms of content and information available on the Scope 11 website.

"Intellectual Property" refers to any and all patent rights, trademarks, trade names, trade secrets, copyrights, and any other proprietary rights in and to any and all content and/or materials.

"Services" refers to the video production services offered by Scope 11, including music videos, corporate videos, and photoshoots.

Use of the Scope 11 Website and Services:

Scope 11 grants you a limited, non-exclusive, non-transferable license to access and use the Scope 11 website and the Services offered by Scope 11, subject to the terms and conditions of this Agreement. You may use the Scope 11 website and Services for your personal, non-commercial use only. You may not use the Scope 11 website or Services for any illegal or unauthorized purpose. You may not use the Scope 11 website or Services in any manner that could damage, disable, overburden, or impair the Scope 11 website or Services, or interfere with any other party's use and enjoyment of the Scope 11 website or Services.

Intellectual Property:

The Scope 11 website and all content available on the Scope 11 website, including but not limited to text, images, videos, audio, and other forms of content, is protected by copyright, trademark, trade secret, and other intellectual property laws. Scope 11 and its licensors own all Intellectual Property rights in and to the Scope 11 website and Content, and you acknowledge and agree that you have no right or title in any such Intellectual Property. You may not use any of the Intellectual Property in any manner that infringes the rights of Scope 11 or its licensors, or that is otherwise prohibited by law.

Termination:

Scope 11 may, in its sole discretion, at any time terminate or suspend all or a portion of the Scope 11 website or Services, or your use thereof, with or without notice and with or without cause.

Warranty Disclaimer:

THE SCOPE 11 WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SCOPE 11 WEBSITE, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO YOU AND THE RESULTS OBTAINED THROUGH THE SCOPE 11 WEBSITE. SPECIFICALLY, SCOPE 11 DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability:

UNDER NO CIRCUMSTANCES SHALL SCOPE 11 BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST OPPORTUNITY, ARISING FROM YOUR USE OF THE SCOPE 11 WEBSITE OR SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SCOPE 11 WEBSITE OR SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SCOPE 11 WEBSITE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, SCOPE 11'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification:

You agree to defend, indemnify, and hold harmless Scope 11, its officers, directors, employees, agents, licensors, and suppliers, from and against any claims, actions or demands, liabilities, and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these TOS.

Governing Law:

These TOS shall be governed by and construed in accordance with the laws of the state of [insert state], without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the state and federal courts located in [insert state] and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Miscellaneous:

These TOS, together with the Privacy Policy and any additional terms to which you agree when using particular elements of the Scope 11 website or Services, constitute the entire agreement between you and Scope 11 with respect to the use of the Scope 11 website and Services. If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions shall remain in full force and effect. The failure of Scope 11 to exercise or enforce any right or provision of these TOS shall not constitute a waiver of such right or provision. You may not assign these TOS or transfer any rights to use the Scope 11 website or Services without the prior written consent of Scope 11. Scope 11 may assign these TOS, in whole or in part, at any time without notice to you.
